Lisa Stewart Albright

Lisa Stewart Albright is a member of the Corporate Department and Health Care Group. She draws on her health care knowledge to assist physicians, physician groups, acute care and long term care facilities with their transactional needs and compliance issues.

Lisa has acted as outside general counsel to a hospital client, advising it on compliance programs and policies, as well as issues regarding medical staff bylaws, physician contracting, HIPAA, EMTALA, Stark, Anti-kickback and managed care contracting. Lisa has assisted various clients in forming ventured ambulatory care facilities; drafted private securities offerings; negotiated payor agreements; and negotiated and drafted employment agreements, recruitment agreements, asset purchase agreements, separation agreements, equipment, employee and space leases, and management and administrative services agreements. She works with clients on the formation and re-structuring of business entities, including professional corporations, limited liability companies, partnerships and non-profit and business corporations; has worked on hospital and other health care provider mergers and acquisitions; and provides clients with regulatory advice under licensing regulations, conditions of participation, and state and federal fraud and abuse law.

Mark Rodriguez ASA, MRICS

Mark is an Accredited Senior Appraiser with the American Society of Appraisers and a member of the Royal Institution of Chartered Surveyors. Mr. Rodriguez is a mechanical engineer with a master’s degree in management. He has been honoured by the American Society of Appraisers with a special recognition of his services and contribution to the appraisal profession and organisation as he served as President and Vice-President at the Northern New Jersey Chapter No. 073.

Over the course of his 26-year career, Mr. Rodriguez has developed a specialisation in domestic and international transactions involving complex valuation matters and special purpose properties.

Mr. Rodriguez has supervised and performed a diversity of valuation, appraisal and consulting engagements, including the valuation of public utilities, independent power producers, complex manufacturing and industrial facilities, commercial buildings, and residential apartments. These valuation advisory assignments were performed for appraisals, market valuations, purchase price allocations, cost segregation studies, litigation support, project financing, transactional pricing, taxation and management reporting purposes. Specifically, these transactions included the valuation of tangible & intangible assets, and goodwill for tax and financial reporting including compliance with Accounting Standards Codification; ASC 805, 350, 410 and 360.

Mr. Rodriguez has analysed a variety of electric generating facilities and public utility related assets including baseload power plants, capacity and peaking facilities, and transmission and distribution assets. These generating assets included coal, natural gas, hydroelectric, oil, biomass, combined cycle cogeneration, black liquor, resource recovery, and sludge/hazardous waste facilities. In addition, he has analysed high-voltage transmission lines, electric distribution systems, and substations.

Prior to founding MR Valuation Consulting, LLC, Mr. Rodriguez worked in the valuation group of Deloitte & Touche. There he served as the developer and head of the independent power and public utilities valuation practice performing consulting projects throughout North America, Latin America, and Europe. His previous experience also includes engineering and construction management experience at Dick Corporation with specific expertise in the design and construction of power generation and commercial facilities.

Maurice Giro
